Are you a corporate paralegal interested in an opportunity involving equity documentation, contracts, and driving business in San Francisco? We are looking for someone with 3-5+ year's of experience who is excited about the prospect of taking primary responsibility for end-to-end contracts lifecycle management.

 

You also should have experience with Global privacy, data security, GDPR, and compliance. The right candidate will be a standout colleague with exemplary verbal and written communication skills, ready to thrive in a fast-paced office of corporate attorneys.

 

Do you have previous technology background using Microsoft Office Suite, CRM softwares, Shareworks, and exceptional Knowledge of private company equity-related administration, tax, and legal concepts to join our growing legal team in either downtown San Francisco or downtown Toronto? Would you feel comfortable preparing and reviewing NDAs, identifying risk points, proposing acceptable modifications, performing equity analysis and managing capitalization tables?

 

The attorney will guide others on, commercial, partner/vendor contracts drafting, negotiation, to management and will provide product and privacy compliance advice and implementation mentorship. 

 

How You Impact Our Vision

Manage all aspects of global equity administration, including capitalization table (Shareworks), equity documentation, secondary sales/related standard documentation, investor analysis, transaction processing and (working with Finance personnel), data entry, reconciliations/audits for quality control/related tax reporting

Draft routine written board/stockholder consents in lieu of a meeting; track items for approval/approved at board meetings; draft continuos resolutions to be presented at a board meeting/stockholder meeting

Generate and file Section 16 reports and Form 8-Ks

Collate and maintain corporate minute books including subsidiaries

Liaise with various internal teams to collect contracts and maintain contract management system

Support strategic transactions including due diligence, post-closing integration and other related support

Provide substantive support in a variety of contract, commercial and other matters

Minimum Qualifications

3+ years of experience as a corporate paralegal at a law firm

Working experience with Shareworks or equity administration software

Bachelor's degree with a strong academic record, or equivalent experience

Knowledge of private company equity-related administration, tax, and legal concepts

Unparalleled multi tasking, attention to detail and organizational skills

5+ years of overall experience, with paralegal/legal support in either law firm/in-house legal department.

Well-honed project management skills with the ability to closely manage multiple transactions, process a high volume of work in a timely/accurate manner

Excellent drafting skills

Excellent research, analysis, oral and written communication skills

Preffered Qualification

NASPP certification
